1. Acceptance of terms
By accessing or using the Equisharer website (the "Site") or engaging Equisharer for services, you agree to be bound by these Terms. If you do not agree, please do not use the Site or our services. These Terms apply to individual clients as well as businesses and their authorized representatives.
2. Description of services
Equisharer provides the following services to contractors, home service businesses, and similar clients:
- Website design and hosting — custom website builds, ongoing hosting, and updates
- Reputation management — review monitoring, review request automation, and response support across platforms such as Google, Yelp, Facebook, and others
- Homeowner data licensing — the sale of homeowner contact records (name, property address, and known phone numbers and email addresses) for client marketing use
The specific scope of services provided to you will be as described on the Site or as separately agreed in writing (including via email or an order confirmation).
3. Eligibility
You must be at least 18 years old and have the authority to bind the business you represent in order to use our services or submit information through our forms.
4. Accounts & payment
Certain services, including our monthly website and reputation management plan, are billed on a recurring monthly basis and continue month-to-month until cancelled by either party. Homeowner data records are billed per record at the rate in effect at the time of purchase. You agree to provide accurate billing information and to pay all fees when due. Fees are generally non-refundable except as required by law or as otherwise stated at the time of purchase.
5. Homeowner data — permitted use & your responsibilities
If you purchase homeowner data records from Equisharer, you acknowledge and agree that:
- Equisharer provides the underlying contact data only. Equisharer does not obtain, on your behalf, any consent from the individuals in the data to be contacted by you.
- You are solely responsible for ensuring that your use of the data — including outbound calls, SMS/text messaging, email campaigns, direct mail, and use in retargeting or lookalike advertising audiences — complies with all applicable laws, including without limitation the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, state Do-Not-Call and telemarketing statutes, and applicable state privacy laws.
- Outbound calling and SMS campaigns carry the highest legal risk and generally require the called or texted party's prior consent under the TCPA. Equisharer strongly recommends legal review before launching any call or SMS campaign built on purchased records.
- Equisharer disclaims all liability for how you use homeowner data records after purchase, and you agree to indemnify Equisharer for claims arising from your use of that data, as further described in Section 11.
Owning a homeowner's phone number or email address is not the same as having legal permission to call, text, or email them. Compliance with telemarketing and privacy laws is the buyer's responsibility in every case.
6. SMS communications
If you opt in to receive SMS messages from Equisharer as a website visitor or lead, those messages are governed by our SMS Policy, which is incorporated into these Terms by reference.
7. Intellectual property
All content on the Site — including text, graphics, logos, and design — is owned by Equisharer or its licensors and is protected by intellectual property laws. Deliverables created for clients (such as a custom website) are governed by the specific service agreement between Equisharer and the client, which will address ownership and licensing of that work product.
8. Acceptable use
You agree not to:
- Use the Site or our services for any unlawful purpose, including violating telemarketing, spam, or privacy laws
- Submit false or misleading information through our forms
- Attempt to interfere with, disrupt, or gain unauthorized access to the Site or our systems
- Resell or redistribute homeowner data records to third parties without our prior written consent
9. Disclaimers
The Site and our services are provided "as is" and "as available" without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee specific results from our reputation management or website services, including specific review counts, ratings, search rankings, or lead volume — outcomes vary by market, business, and factors outside our control. We do not warrant the completeness or accuracy of homeowner data records.
10. Limitation of liability
To the fullest extent permitted by law, Equisharer and its owners, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or related to your use of the Site or our services, whether based on contract, tort, or any other legal theory. Our total liability for any claim arising out of these Terms or our services will not exceed the amount you paid to Equisharer in the twelve (12) months preceding the claim.
11. Indemnification
You agree to indemnify, defend, and hold harmless Equisharer and its owners, employees, and contractors from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of: (a) your use of the Site or our services; (b) your violation of these Terms; or (c) your use of any homeowner data records purchased from Equisharer, including any claims related to unsolicited calls, texts, or emails made using that data.
12. Termination
Either party may terminate a month-to-month service arrangement at any time, subject to any notice period described in your service agreement. We may suspend or terminate your access to the Site or services immediately if we reasonably believe you have violated these Terms, including the homeowner data use restrictions in Section 5.
13. Governing law & disputes
These Terms are governed by the laws of the State of Nevada, without regard to its conflict of law principles. Any disputes arising under these Terms will be subject to the exclusive jurisdiction of the state or federal courts located in Nevada, unless otherwise required by applicable law.
14. Changes to these terms
We may update these Terms from time to time. Material changes will be posted on this page with an updated effective date. Continued use of the Site or our services after changes are posted constitutes acceptance of the revised Terms.
